TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of www.marketmonaco.com, together with all related websites, interfaces, communications, features, tools, applications, content, functionality, and services operated by Marketplace Monaco (collectively, the “Platform” or “Services”).

By accessing, browsing, registering for, submitting information to, listing assets on, communicating through, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and all policies referenced herein, including the Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms apply to all users of the Platform, including visitors, buyers, prospective buyers, sellers, collectors, dealers, brokers, agents, representatives, entities, consignors, intermediaries, and any other person accessing or using the Platform (“Users,” “you,” or “your”).

1. Nature of the Platform

Marketplace Monaco operates a curated digital platform dedicated to luxury and high-value assets connected to Monaco.

The Platform enables users to discover, advertise, present, market, and communicate regarding assets and related opportunities.

Unless expressly agreed otherwise in a separate written agreement signed by Marketplace Monaco:

  • Marketplace Monaco acts solely as a neutral technology platform and advertising medium;

  • Marketplace Monaco is not a broker, dealer, auctioneer, escrow provider, insurer, fiduciary, payment processor, financial adviser, legal adviser, logistics provider, customs agent, freight forwarder, or transaction intermediary;

  • Marketplace Monaco does not generally participate in negotiations or transactions between users;

  • Marketplace Monaco does not take title to assets listed on the Platform;

  • Marketplace Monaco does not independently certify, authenticate, appraise, guarantee, or warrant assets listed on the Platform.

Marketplace Monaco is not a party to transactions conducted between users.

All negotiations, agreements, inspections, due diligence, payments, transfers, shipping arrangements, registrations, tax obligations, customs matters, and disputes occur solely between the relevant users.

2. Monaco-Relevant Marketplace

Marketplace Monaco is dedicated to assets connected to Monaco.

An asset connected to Monaco may include an asset:

  • purchased in Monaco;

  • owned by a Monaco resident or Monaco-based entity;

  • registered in Monaco;

  • stored, maintained, managed, insured, or administered in Monaco;

  • represented by Monaco-based intermediaries or professionals;

  • or forming part of a Monaco-based private collection.

Marketplace Monaco reserves sole and absolute discretion to determine whether a listing satisfies the Platform’s Monaco relevance standards.

Submission of documentation or information does not guarantee listing approval or publication.

Marketplace Monaco reserves the right to approve, reject, suspend, remove, edit, limit visibility of, or decline any listing, account, asset, or submission at any time, with or without notice, and without obligation to provide justification.

3. No Verification, Authentication, or Certification

Marketplace Monaco may review listings, seller information, photographs, supporting documentation, and related materials for moderation, fraud prevention, quality control, compliance, or Monaco relevance purposes.

However, unless expressly stated otherwise in writing, Marketplace Monaco does not independently verify, certify, inspect, appraise, or guarantee:

  • authenticity;

  • ownership;

  • provenance;

  • title;

  • condition;

  • legality;

  • value;

  • quality;

  • existence;

  • availability;

  • seller authority;

  • or suitability of any asset.

Any moderation, publication, review, communication, designation, or visibility status provided by Marketplace Monaco must not be interpreted as:

  • authentication;

  • certification;

  • endorsement;

  • appraisal;

  • legal verification;

  • due diligence;

  • or a guarantee of legitimacy.

Users remain solely responsible for conducting their own independent investigations and due diligence before entering into any transaction or relying on any listing.

4. Eligibility

By using the Platform, you represent and warrant that:

a. you are at least eighteen (18) years old or the age of legal majority in your jurisdiction;

b. you possess the legal authority and capacity to enter into binding agreements;

c. if acting on behalf of a company, trust, entity, or third party, you are fully authorized to bind such party to these Terms;

d. your use of the Platform complies with all applicable laws, sanctions regimes, anti-money laundering obligations, export controls, customs rules, tax requirements, and regulations; and

e. you are not prohibited from using the Platform under any applicable law or sanctions regime.

Marketplace Monaco reserves the right to refuse access to any person, entity, asset, transaction, or jurisdiction at its sole discretion.

5. User Accounts

Certain features of the Platform may require registration.

You agree to provide complete, accurate, and current information and to maintain such information at all times.

You are solely responsible for:

  • safeguarding your account credentials;

  • restricting access to your account;

  • all activity conducted under your account;

  • and all actions taken using your credentials.

Marketplace Monaco may suspend, restrict, investigate, or terminate accounts at any time where it reasonably believes:

  • false information has been provided;

  • fraud or unlawful conduct may exist;

  • reputational, regulatory, legal, or commercial risk may arise;

  • these Terms have been violated;

  • or continued access may harm the Platform or its users.

6. Seller Representations and Warranties

If you advertise, upload, market, present, or list an asset, you represent and warrant that:

a. you are the lawful owner of the asset or are fully authorized to market and offer it;

b. you possess all necessary rights, permissions, licenses, approvals, and authority required to create the listing and complete any related transaction;

c. all listing information is accurate, lawful, complete, current, and not misleading;

d. the asset is authentic and lawful to market and sell;

e. the asset is not counterfeit, stolen, unlawfully obtained, subject to sanctions restrictions, or involved in ownership disputes or litigation;

f. the listing does not infringe intellectual property rights, privacy rights, publicity rights, contractual rights, or other third-party rights;

g. all applicable registrations, declarations, taxes, permits, licenses, customs obligations, and legal requirements have been or will be satisfied; and

h. you will promptly update or remove inaccurate, unavailable, withdrawn, outdated, or sold listings.

Sellers remain solely responsible for:

  • pricing;

  • disclosures;

  • negotiations;

  • contracts;

  • ownership verification;

  • authenticity;

  • provenance;

  • transport;

  • customs;

  • taxes;

  • insurance;

  • registration;

  • export/import compliance;

  • delivery;

  • after-sale obligations;

  • and dispute resolution.

7. Supporting Documentation & Verification Materials

Marketplace Monaco may request supporting documentation at any time, including documentation relating to:

  • ownership;

  • identity;

  • provenance;

  • authenticity;

  • Monaco connection;

  • authority to sell;

  • registration;

  • storage;

  • insurance;

  • maintenance;

  • legal compliance;

  • or related matters.

Such documentation may include:

  • proof of purchase;

  • invoices;

  • certificates;

  • registration records;

  • residency documentation;

  • corporate documentation;

  • maintenance records;

  • insurance records;

  • storage records;

  • dealer documentation;

  • concierge documentation;

  • intermediary documentation;

  • or other supporting materials.

All submitted documentation is reviewed solely for:

  • moderation;

  • fraud prevention;

  • compliance;

  • internal verification;

  • platform integrity;

  • Monaco relevance assessment;

  • and risk management purposes.

Confidential documentation submitted to Marketplace Monaco is not publicly displayed on listings unless expressly authorized by the submitting user.

Submission of documentation does not constitute authentication, certification, endorsement, appraisal, or legal verification by Marketplace Monaco.

Marketplace Monaco reserves the right to retain, review, reject, escalate, disclose, or cooperate with authorities regarding submitted documentation where required by law, regulatory obligations, fraud prevention, or protection of Platform integrity.

Failure to provide satisfactory documentation may result in rejection, removal, suspension, restriction, or permanent termination.

8. Buyer Responsibility & Independent Due Diligence

Users engaging with listings as buyers or prospective buyers acknowledge and agree that:

  • all transactions are undertaken entirely at their own risk;

  • Marketplace Monaco does not guarantee sellers, assets, listings, or transaction outcomes;

  • Marketplace Monaco does not guarantee authenticity, title, provenance, legality, or condition;

  • Marketplace Monaco does not guarantee successful completion of transactions.

Buyers are solely responsible for independently verifying:

  • ownership;

  • title;

  • provenance;

  • authenticity;

  • condition;

  • value;

  • liens;

  • encumbrances;

  • legality;

  • export/import restrictions;

  • insurance;

  • and regulatory compliance.

Marketplace Monaco strongly recommends obtaining independent legal, tax, technical, valuation, inspection, and authenticity advice before entering into transactions.

Marketplace Monaco shall not be liable for:

  • fraud;

  • misrepresentation;

  • counterfeit goods;

  • title disputes;

  • hidden defects;

  • failed deliveries;

  • failed transactions;

  • payment disputes;

  • transport issues;

  • customs issues;

  • regulatory issues;

  • or post-sale disputes.

9. Optional Concierge, Logistics, & Administrative Assistance

Marketplace Monaco generally does not take possession of, store, transport, ship, insure, or physically handle listed assets.

However, in limited circumstances and solely at its discretion, Marketplace Monaco may agree to assist users with introductions, coordination, administrative support, logistical arrangements, collection, storage, transport, or delivery relating to certain assets.

Any such assistance:

  • is provided strictly on a discretionary and case-by-case basis;

  • may be subject to separate agreements, waivers, fees, or conditions;

  • does not make Marketplace Monaco a carrier, freight forwarder, logistics provider, bailee, insurer, escrow provider, broker, or party to the transaction;

  • does not constitute acceptance of custody, ownership, title, or liability for the asset;

  • and is undertaken entirely at the user’s risk unless expressly agreed otherwise in writing.

Users remain solely responsible for:

  • arranging appropriate insurance;

  • complying with transport and customs regulations;

  • satisfying import/export obligations;

  • and obtaining any protections they deem necessary.

To the fullest extent permitted by law, Marketplace Monaco disclaims liability for:

  • loss;

  • theft;

  • delay;

  • transport damage;

  • customs issues;

  • delivery failures;

  • third-party conduct;

  • storage issues;

  • or transport-related disputes.

10. Prohibited Conduct

Users may not:

  • upload false, deceptive, misleading, or fraudulent listings;

  • advertise counterfeit or replica goods;

  • list stolen or unlawfully obtained assets;

  • impersonate individuals or entities;

  • manipulate pricing, visibility, engagement, rankings, or inquiries;

  • scrape, harvest, or extract Platform data;

  • interfere with Platform infrastructure or security;

  • upload malicious software or harmful code;

  • use the Platform for money laundering, sanctions evasion, unlawful trade, fraud, or illegal conduct;

  • circumvent Platform moderation, restrictions, or fees;

  • or engage in conduct that could expose Marketplace Monaco to legal, regulatory, security, or reputational risk.

Marketplace Monaco reserves unrestricted discretion in determining prohibited conduct.

11. Fees & Paid Services

Certain Platform features may require payment.

All fees:

  • are payable in advance;

  • are non-refundable except where required by law;

  • may change at any time for future billing periods;

  • and do not guarantee inquiries, exposure, visibility, buyer interest, or transactions.

Failure to pay may result in suspension or termination of services.

12. Intellectual Property

All Platform content, software, branding, designs, interfaces, databases, functionality, trademarks, logos, graphics, and technology are owned by or licensed to Marketplace Monaco.

No rights are granted except as expressly stated in these Terms.

Users may not reproduce, modify, distribute, reverse engineer, scrape, republish, commercially exploit, or create derivative works from any part of the Platform without prior written consent.

13. User Content License

You retain ownership of content submitted to the Platform (“User Content”).

However, by submitting User Content, you grant Marketplace Monaco a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to host, reproduce, modify, display, distribute, market, archive, adapt, publish, and otherwise use such content in connection with operating, promoting, improving, protecting, and commercializing the Platform.

You represent and warrant that you possess all rights necessary to grant this license.

14. No Fiduciary or Agency Relationship

Nothing in these Terms or through use of the Platform creates:

  • an agency relationship;

  • partnership;

  • joint venture;

  • fiduciary relationship;

  • employment relationship;

  • or representative authority between Marketplace Monaco and any user.

Users act solely on their own behalf and at their own risk.

15. Third-Party Services

Marketplace Monaco may integrate or link to third-party services, providers, websites, payment processors, logistics providers, or software tools.

Marketplace Monaco is not responsible for third-party conduct, availability, legality, performance, policies, or services.

Use of third-party services is entirely at your own risk.

16. Disclaimers

To the fullest extent permitted by law, the Platform and all Services are provided “as is” and “as available” without warranties of any kind.

Marketplace Monaco disclaims all warranties, express or implied, including:

  • merchantability;

  • fitness for a particular purpose;

  • non-infringement;

  • availability;

  • reliability;

  • security;

  • authenticity;

  • legality;

  • ownership;

  • condition;

  • or transaction success.

Marketplace Monaco does not warrant that:

  • the Platform will operate uninterrupted or error-free;

  • listings are accurate or lawful;

  • users are trustworthy;

  • transactions will complete successfully;

  • or the Platform will meet user expectations.

17. Limitation of Liability

To the fullest extent permitted by law, Marketplace Monaco and its affiliates, officers, shareholders, employees, contractors, licensors, service providers, and agents shall not be liable for:

  • indirect damages;

  • incidental damages;

  • consequential damages;

  • punitive damages;

  • reputational harm;

  • lost profits;

  • lost revenue;

  • lost opportunities;

  • business interruption;

  • loss of data;

  • loss of goodwill;

  • or transaction-related losses.

This limitation applies regardless of legal theory and even if foreseeable.

If liability is nevertheless imposed, Marketplace Monaco’s total aggregate liability shall not exceed the greater of:

a. the amount paid by you to Marketplace Monaco during the twelve (12) months preceding the relevant claim; or

b. one hundred euros (€100).

18. Indemnification

You agree to fully defend, indemnify, and hold harmless Marketplace Monaco and its affiliates, officers, shareholders, employees, contractors, agents, licensors, and service providers from and against all claims, liabilities, damages, losses, penalties, investigations, judgments, costs, and expenses, including reasonable legal fees, arising from or relating to:

  • your use of the Platform;

  • your listings or transactions;

  • your User Content;

  • your breach of these Terms;

  • your violation of laws or regulations;

  • or disputes involving assets you advertise, market, purchase, or sell.

19. Suspension & Termination

Marketplace Monaco may suspend, restrict, investigate, remove, or terminate any account, listing, content, or access at any time, with or without notice, for any reason or no reason.

Marketplace Monaco may cooperate with law enforcement, regulators, courts, customs authorities, sanctions authorities, or governmental bodies regarding investigations, fraud prevention, legal compliance, or unlawful conduct.

20. Changes to the Platform or Terms

Marketplace Monaco may modify the Platform or these Terms at any time.

Updated Terms become effective upon publication unless otherwise stated.

Continued use of the Platform constitutes acceptance of revised Terms.

21. Governing Law & Jurisdiction

These Terms and any dispute arising out of or relating to the Platform shall be governed exclusively by the laws of Monaco.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Monaco unless mandatory applicable law provides otherwise.

22. Entire Agreement

These Terms constitute the entire agreement between you and Marketplace Monaco regarding use of the Platform and supersede prior agreements or understandings.

If any provision is deemed unenforceable, the remaining provisions remain fully effective.

Failure to enforce any provision shall not constitute waiver.
